1. Acceptance of Terms

By creating an account or using Nodereel (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Nodereel ("we", "us", or "our"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of the Service

Nodereel is an AI-powered SaaS platform that allows users to build and run content-generation workflows through a visual, node-based editor. The Service leverages large language models and video-generation AI to produce scripts, studio assets, persona images, and short-form video clips based on user-provided product and brand information.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practical.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@nodereel.com if you suspect unauthorised access. You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, defamatory, harassing, threatening, or obscene.
  • Violate any third-party intellectual property rights, including using brand assets, trademarks, or copyrighted material without permission.
  • Produce deceptive, misleading, or fraudulent content, including deepfakes used to misrepresent real individuals.
  • Circumvent, disable, or interfere with security features or rate limits of the Service.
  • Reverse-engineer, decompile, or extract the source code of the Service.
  • Resell or sublicense access to the Service without our prior written consent.
  • Use the Service in any way that violates applicable law or regulation.

We reserve the right to suspend or terminate accounts that violate these standards at our sole discretion.

5. AI-Generated Content

Content generated by the Service is produced by third-party AI models. We do not guarantee that outputs are accurate, suitable for commercial use, free from third-party IP claims, or compliant with advertising regulations in your jurisdiction. You are solely responsible for reviewing, editing, and ensuring the legality of all content before publishing or distributing it.

AI-generated outputs may occasionally include hallucinations, bias, or inaccurate information. Nodereel disclaims all liability arising from your use of generated content.

6. Intellectual Property

Our platform. Nodereel and all of its underlying technology, branding, and UI are our exclusive property. Nothing in these Terms transfers ownership of the platform to you.

Your content and outputs. You retain ownership of the input data (product briefs, brand information) you provide. Subject to these Terms, we grant you a non-exclusive, worldwide licence to use, reproduce, and distribute the video outputs generated for you through the Service. You are responsible for ensuring you have the necessary rights to any third-party material included in your inputs.

Feedback. Any feedback or suggestions you provide to us may be used by us without restriction or compensation to you.

7. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual basis. All payments are processed securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. Prices are displayed in USD and are exclusive of applicable taxes, which are your responsibility.

Video generation credits included in a plan reset at the start of each billing period. Unused credits do not roll over.

You may cancel your subscription at any time from the dashboard. Access continues until the end of the current billing period; no partial refunds are issued for the remaining period unless covered by our refund policy below.

8. Refund Policy

We offer a 30-day money-back guarantee on all paid plans. If you are not satisfied within 30 days of your initial subscription payment, contact us at support@nodereel.com and we will issue a full refund. Refunds are not available after 30 days or for renewals.

9. Free Tier

Free accounts include limited monthly allowances (1 persona, 1 studio, 1 workflow execution). Free tier limits may change at any time. We may impose additional restrictions or discontinue the free tier with reasonable notice.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully to understand how we collect and process your data.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODEREEL AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

13. Indemnification

You agree to indemnify and hold harmless Nodereel and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason at our discretion. You may delete your account at any time from dashboard settings. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or legitimate business purposes.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or via a notice in the dashboard at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes will be resolved through binding arbitration or the competent courts of the jurisdiction in which Nodereel is incorporated, unless local mandatory consumer-protection laws require otherwise.
